11. Dispute Resolution

You and Via 313 each agree that any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor Via 313 will seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding shall be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of the right to arbitrate.

In the event of a force majeure event, we will use commercially reasonable efforts to resume normal operations as promptly as possible.

15.5 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder, in whole or in part, without the prior written consent of Via 313. Via 313 may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
